All-cash acquisition of $6.50 per share delivers a significant premium for all shareholders

Transaction concludes Barnes & Noble strategic alternative review

Elliott to pursue growth strategy at Barnes & Noble, empowering local stores across the US, while benefitting from international scale

NEW YORK & LONDON--(June 7, 2019)--Barnes & Noble, Inc. (NYSE:BKS, “Barnes & Noble”) announces today that it has entered into a definitive agreement to be acquired by funds advised by Elliott Advisors (UK) Limited (“Elliott”) for $6.50 per share in an all-cash transaction valued at approximately $683 million, including the assumption of debt.

Elliott’s acquisition of Barnes & Noble, the largest retail bookseller in the United States, follows its June 2018 acquisition of Waterstones, the largest retail bookseller in the United Kingdom. James Daunt, CEO of Waterstones, will assume also the role of CEO of Barnes & Noble following the completion of the transaction and will be based in New York.

The $6.50 per share purchase price represents a 43% premium to the 10-day volume weighted average closing share price of Barnes & Noble’s common stock ended June 5, 2019, the day before rumors of a potential transaction were reported in the media.

The announced transaction with Elliott is the culmination of an extensive Strategic Alternative Review conducted by the Special Committee of the Barnes & Noble Board of Directors, which was announced on October 3, 2018. The Board of Directors of Barnes & Noble unanimously approved the transaction and recommend the transaction to Barnes & Noble shareholders. Leonard Riggio, the Founder and Chairman of Barnes & Noble, has also entered into a voting agreement in support of the transaction.

Barnes & Noble serves 627 different communities across all 50 states, where it remains the #1 bookseller in the United States. Elliott seeks to build upon this strong foundation as it addresses the significant challenges facing the bricks and mortar book retail space, applying a model that successfully turned around Waterstones over the past decade.

Following the close of the transaction, Elliott will own both Barnes & Noble and Waterstones, and while each bookseller will operate independently, they will share a common CEO and benefit from the sharing of best practice between the companies. Waterstones has successfully restored itself to sales growth and sustainable profitability, based on a strategy of investment in their store estate and the empowerment of local bookselling teams. Under Daunt’s leadership and Elliott’s stewardship, this commitment to bookselling excellence will strengthen the ability of both companies to navigate with success a rapidly changing retail landscape.

The transaction is subject to customary closing conditions, including the receipt of regulatory and stockholder approval, and is expected to close in the third quarter of 2019. The merger agreement provides for the acquisition to be consummated through a merger structure. However, the parties expect to amend the agreement to utilize a tender offer structure, which is expected to reduce the time to closing by a number of weeks.


Dividend

Barnes & Noble also announced that it has declared a quarterly cash dividend of $0.15 per share, payable on August 2, 2019 to stockholders of record at the close of business on July 5, 2019.

Fiscal 2019 Year-End Earnings Announcement

Barnes & Noble separately announced that it will be reporting its fiscal 2019 fourth quarter and year-end financial results on June 19, 2019.

New York, NY – March 27, 2018 – Barnes & Noble, Inc. (NYSE: BKS), the world’s largest retail bookseller, today announced the launch of Browsery—the first mobile app to talk about books the way readers do. Browsery is available for Android and iOS users. It blends technology with the Barnes & Noble experience of community, conversation and peer-to-peer recommendations to deliver a new kind of digital browsing that’s a gateway for users to find new books and talk about the ones they love with fellow readers.  Customers can like, comment, or contribute answers to questions posed by the community, like or comment on the answers of others, or ask questions of their own. Seamless connectivity to the mobile web allows purchase or sampling of new discoveries.

“Books have always brought people together over shared interests to make recommendations to one another, and Browsery is rooted in that core experience of the reading life. We’re taking the way people talk about books with their friends and in our stores across the country and giving it a fun mobile presence,” said Fred Argir, Chief Digital Officer at Barnes & Noble. “Through this innovative new app, customers will be able to recommend great books to each other. We’re also encouraging our booksellers to get involved and share their knowledge and passion with a wider audience.”

To help customers join the conversation, Barnes & Noble will share Browsery content on its social channels, posting the Browsery “Question of the Day” on its national Facebook, Twitter and Instagram accounts, inviting its significant social community to engage. In addition, some of the best answers and recommendations from customers, booksellers and well-known authors on Browsery will be shared across those social channels. Stores nationwide will promote on their local social media pages, too.

Brad Meltzer, author of the current bestseller The Escape Artist, poses our inaugural “Asked By an Author” question for launch week, showcasing how Browsery will provide the author community an opportunity to engage with readers. Authors will be encouraged to share their opinions and favorite customer posts with their followers on social media. Browsery will also be integrated into select store events to bring mobile readers into the real-time author conversations that only Barnes & Noble can facilitate.

Annual Video Game Awards Show Live Streamed by IGN Entertainment

LOS ANGELES – January 12, 2018 - The Academy of Interactive Arts & Sciences (AIAS) is pleased to announce the nominees for its 21st D.I.C.E. Awards (#DICEAwards), co-hosted by Greg Miller, co-founder of internet video show and podcast Kinda Funny, and Jessica Chobot of Nerdist News. Academy members will begin general voting for the video game industry’s premier peer-based awards show on Friday, Jan. 12th at 5:00 PM PST.

The winners will be revealed at the D.I.C.E. Awards ceremony on Thursday, Feb. 22nd in Las Vegas as the culmination of the week-long industry gathering at the 2018 D.I.C.E. (Design, Innovate, Communicate, Entertain) Summit (#DICE18). The ceremony will once again be live streamed in its entirety beginning at 8:00 pm PT/11:00 pm ET via media partner IGN Entertainment.

CAMDEN, N.J.–(BUSINESS WIRE)–Oct. 5, 2017–Campbell Soup Company (NYSE:CPB) has collaborated with Disney and Lucasfilm to launch a new series of Star Wars themed soup labels. To celebrate the alliance, Campbell’s has also announced a surprise for New York Comic-Con attendees and residents – a new Star Wars inspired “canstallation” structure, which will be stationed on the streets of New York to celebrate the upcoming release of Star Wars: The Last Jedi.

The interactive “canstallation” structure will feature characters from Star Wars: The Last Jedi made entirely out of the new Limited-Edition Campbell’s Star Wars soup cans, against the backdrop of an LED screen playing the trailer for the new film, due out on December 15. The structure will be displayed on a truck stationed on 10th Avenue at 37th Street. Comic-Con attendees and locals are invited to stop by on October 5, 6 or 7, between the hours of 10 a.m. and 6 p.m.

The new labels of Campbell’s Limited-Edition Star Wars soups feature characters from Star Wars: The Last Jedi on a metalized paper label, and includes Rey, Finn, BB-8, Captain Phasma and the Praetorian Guard. Inside the can, the special Healthy Kid Fun Shaped Pasta with Chicken Soup includes intricate, die-cut Star Wars pasta shapes, with no added MSG, artificial flavors or artificial colors. The cans are available now in grocery stores nationwide.

In addition, Campbell will debut a new commercial in its “Made for Real, Real Life” campaign to support the Star Wars cans. The campaign, which debuted in 2015, previously featured a talked-about Star Wars themed commercial of two dads feeding their son a warm bowl of soup while reciting the memorable “I am your father” line from the 1980 film, Star Wars: The Empire Strikes Back.

Nintendo Heads to San Diego Comic-Con with Games, Competition and Giveaways

Play Nintendo Switch Games Like Super Mario Odyssey, Splatoon 2, Pokkén Tournament DX and Flip Wars

REDMOND, Wash., July 13, 2017 – For anyone in San Diego between July 20 and July 23, Nintendo has a ton of fun activities planned at Comic-Con and the nearby San Diego Marriott Marquis & Marina hotel that people of all ages can enjoy. In addition to a playable version of the Super Mario Odyssey game at the San Diego Comic-Con booth, the San Diego ballroom of the Marriott Marquis & Marina will be transformed into a colorful Nintendo paradise – perfect for taking amazing photos and playing some great games starring some of Nintendo’s most recognizable characters!

Visitors to the ballroom will be able to play upcoming Nintendo Switch games like Splatoon 2 and Pokkén Tournament DX, as well as experience the first hands-on time in North America with Flip Wars (previously known as Project Mekuru), a new multiplayer action game launching exclusively in Nintendo eShop on Nintendo Switch on Aug. 10*. In the upcoming game, players flip over panels – and opponents – by stomping the ground and using power-ups to outwit the competition. Attendees can also play select Nintendo 3DS games in 2D on the New Nintendo 2DS XL system before it launches in stores later this month. Fans can also participate in competitions sponsored by Nintendo for a chance to win prizes, catch a glimpse of the upcoming Super NES Classic Edition hardware and celebrate the launch of Splatoon 2 with special game-themed activities. And all of the events in the Marriott Marquis & Marina can be enjoyed by anyone in the San Diego area!

“Bringing our games and experiences directly to the fans is very important to us,” said Doug Bowser, Nintendo of America’s Senior Vice President of Sales and Marketing. “Since San Diego Comic-Con is full of so many Nintendo fans of all ages, it’s the perfect place to let everyone enjoy many of our upcoming games.”

Fans who want to show off their competitive side will have multiple opportunities to compete in an ongoing multi-game competition, the Play Nintendo Challenge, for the chance to receive cool giveaways and a chance to win a prize, while supplies last. These competitions are open to the public and will be hosted at the San Diego Marriott Marquis & Marina space at various times throughout the week. Participation will be on a first-come, first-served basis**. If selected, competitors will start with an eight-player Turf War match in Splatoon 2. The winning team of four will then compete against each other in the hit fighting game ARMS. The final two players will enter the finals with a one-on-one battle in upcoming Nintendo Switch game Pokkén Tournament DX. The Play Nintendo Challenge will be open 10 a.m.-7 p.m. on July 20 and July 21, and 10 a.m.-5 p.m. on July 23.

Since Splatoon 2 launches during San Diego Comic-Con this year (July 21), fans will be able to take part in some extra-fresh Splatoon 2 activities. A Splatoon 2-themed photo booth will be set up at the Marriott Marquis & Marina to let fans take eye-catching photos with replicas of Splatoon 2 weapons. Two professional Splatoon 2 cosplayers, Heidi O’Ferrall (@AtelierHeidi) and Leo Camacho (@LeoZombie), will even visit the booth at select times to celebrate the game’s launch and take photos with fans. The first 20 fans per day that show up to the Splatoon 2 photo booth in Splatoon costumes will receive game-themed gifts.

Zenescope Entertainment Partners with Gelato Paradiso for San Diego Comic Con

Horsham, Pennsylvania – Zenescope Entertainment has announced plans to partner with San Diego’s Gelato Paradiso for Comic Con 2017. The authentic Italian gelato shop will be offering three specialty gelato flavors based on Zenescope’s comic book titles and will be giving away a Limited Edition Comic Con souvenir cup with every purchase of a Zenescope flavor while supplies last. Each day during Comic Con, the first ten attendees who bring their souvenir cup to Zenescope’s booth #2301 and present it to a staff member will receive a free limited edition metal print. Zenescope will also be hosting a gelato eating contest at Gelato Paradiso's store location on July 22nd at 3pm, with the contest winner receiving a four-day pass to San Diego Comic Con 2018 and a Best of Zenescope Pack. Convention attendees can sign up in person at Zenescope’s booth until 12pm on July 22nd. Three contestants will be randomly chosen to compete and all contest applicants will be entered into a chance to win PlayStation VR goggles.
